ACCEPTANCE OF TERMS

By using the platform, you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you must not use our platform. We may modify this agreement from time to time, and such modification will be effective upon posting on the platform. You agree to be bound by any modification of these terms and conditions when you use Awardable after the posting of such modification; therefore, it is important that you review this agreement regularly.

By using the platform, you represent and warrant that you have full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are not under any legal incapacity or contractual restriction that would prevent you from entering into this agreement.

NOTIFICATIONS

By providing your email address to Awardable, you agree that we may use your email address to send you notifications and other messages, such as changes to service features, news and special content via email. If you do not wish to receive these emails, you may opt out of receiving them by submitting your unsubscribe request through the contact information or by using the "unsubscribe" option included in the emails. Unsubscribing may prevent you from receiving notifications of updates, news or special content related to Awardable.

USER ACCOUNTS

Authentication and Registration

Users can register on the platform by providing their first and last name, email address, phone number and create a password. We use Clerk, a third-party authentication service, to securely manage user accounts. Users can register and log in through multiple methods including email/password and OAuth providers (Google, and other supported providers). By using our authentication services, you agree to Clerk's terms of service and privacy policy.

User Types

Awardable offers two distinct user types:

• Directors & Coaches: Users who can create awards, manage tournaments, organize groups, invite team members, and access subscription features. This account type is designed for team leaders, coaches, and event organizers.
• Athletes: Users who can receive and accept awards, view their awards collection, share achievements on social media, and participate in groups and tournaments they are invited to.

Account Security

You are responsible for maintaining the confidentiality of your password and account information, and are fully responsible for all activities that occur under your password or account.

You agree to (a) immediately notify Awardable of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you log out of your account at the end of each session. You may never use another user's account without Awardable's prior authorization.

Users can cancel their accounts at any time and for any reason through the account settings or by sending us their request through our contact information. Such cancellation will only result in the deletion of the account and the deletion of all personal data transferred to Awardable.

Awardable reserves the right to terminate your account or your access immediately, with or without notice, and without liability to you, if Awardable believes that you have violated any of these terms or provided Awardable with false or misleading information.

SUBSCRIPTIONS

Awardable offers the following subscriptions:

• Coaches Free
• Coaches Plus
• Director Plan
• Tournament Host

Please check the descriptions of each type of subscription before purchasing a subscription. When a user purchases a subscription, Awardable will send a confirmation email. This confirmation email will be produced automatically so that the user has confirmation of the payment and the start of the subscription.

Subscriptions include automatic recurring billing payments according to the type of subscription (monthly and annual billing). You authorize Awardable to renew your subscription and to make periodic and progressive charges on each billing date. The subscription billing date is the date on which you purchase the subscription and make the first payment. On the corresponding billing date, you will be automatically charged the subscription fee according to the subscription selected by the user (monthly or annual billing).

Subscriptions will automatically renew for an additional period unless cancelled prior to the next billing period. To cancel subscriptions, users may cancel the subscription through their account settings in the billing section or they must submit a cancellation request through our contact information and the subscription will be cancelled for the next billing period. If a subscription is cancelled, the user will be able to continue using it until the next billing period.

Awardable may change or discontinue the availability of subscriptions at any time at its sole discretion. If a subscription purchase is cancelled, the payment made for the subscription will be refunded for the applicable billing period.

PAYMENTS

Subscriptions will be paid by credit/debit card (Visa, Master, Discover, Amex, Diners, etc.). All payments are processed securely through Stripe, our third-party payment processor. We do not store your complete credit card information on our servers. The corresponding subscription payment will be charged to your credit or debit card upon completion of the payment and subscription registration process.

If you find any inconsistencies in your billing, please contact us via our contact details. If your card is declined, you will receive an error message. No payment will be charged to your card and no order will be processed.

Your payment details will be treated and retained securely by Stripe in accordance with PCI DSS compliance standards and for the sole purpose of processing the purchase of the subscriptions. Awardable reserves the right to engage any payment platform available on the market.

Refund Policy

Subscriptions are billed in advance on a monthly or annual basis and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. However, you may cancel your subscription at any time, and the cancellation will be effective at the end of your current billing period.

In order to treat everyone equally, no exceptions will be made unless required by applicable law. If you believe you have been incorrectly charged, please contact us within 30 days of the charge at support@awardable.io.

Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.

USER CONTENT

Some platform features may allow users to provide content through the platform. You retain copyright or any rights you may have in the content you provide through the platform. Awardable is not responsible for the accuracy, safety or legality of content posted on the platform by users. Users are solely and exclusively responsible for their content and the consequences of its publication.

By providing content and information through the platform, the user grants Awardable a worldwide, non-exclusive, royalty-free, fully paid-up right and license to host, store, transfer, display, perform, reproduce and modify the user's content for the sole purpose of displaying it through the platform and to the general public.

By providing content through the platform, you affirm, represent and warrant that:

• You own the content you provide through the platform, or have the necessary licenses, rights, consents and permissions to authorize Awardable to publish and display your content
• Your content does not infringe, violate or misappropriate any third party right, including any copyright, trademark, patent, trade secret, moral right, right of privacy, right of publicity or any other intellectual property or proprietary right
• Your content does not defame, libel, slander or invade the right of privacy, publicity or other proprietary rights of any other person
• Your content may not be considered by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful or otherwise inappropriate
• Your content does not and will not contain content that incites hatred, threats of physical harm or harassment

Any violation of these terms and conditions or the publication of prohibited content on the platform may result in the removal of the content on the platform and the suspension of the user's account.

LIMITATION OF LIABILITY

The Awardable platform acts solely as an intermediary between Award Presenters and recipient users, providing a space for the creation, management and acceptance of awards. In this context, Awardable disclaims all liability for any damages, losses or harm that may arise directly or indirectly from the use of the platform.

In no event shall Awardable, its directors, employees or agents be liable for any indirect, incidental, special, consequential or exemplary damages, including, but not limited to, loss of profits, goodwill, use, data or other intangible losses, resulting from the use or inability to use the platform, even if Awardable has been advised of the possibility of such damages.

Awardable reserves the right to modify, suspend or terminate any aspect of the platform at any time, including the availability of any feature, database or content, without notice and without liability to users or third parties.

COPYRIGHT

All materials on Awardable, including but not limited to names, logos, trademarks, images, text, graphics, videos, photographs, illustrations, software and other items, are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by Awardable or our users. You may not copy, reproduce, republish, sell, download, posted, transmitted, or distributed in any way without Awardable prior express written permission.

PROHIBITED ACTIVITIES

The following activities are prohibited:

• Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content of the platform using any automated means without our express written permission
• Violate the restrictions in any robot exclusion headers on the platform or bypass or circumvent other measures employed to prevent or limit access to the platform
• Take any action that imposes an unreasonable or disproportionately large load on our infrastructure
• Deep-link to any portion of the platform for any purpose without our express written permission
• "Frame", "mirror" or otherwise incorporate any part of the platform into any other websites or Service without our prior written authorization
• Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Awardable
• Circumvent, disable or otherwise interfere with security-related features of the platform

DISCLAIMER OF WARRANTIES

Due to the nature of the Internet, Awardable provides and maintains the platform on an "as is", "as available" basis and does not promise that use of the platform will be uninterrupted or error-free. We will not be liable to you if we are unable to provide the platform and the functionality included on the platform for any reason beyond our control.

TERMINATION

Both the user and Awardable acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.

In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, Awardable reserves the right to unilaterally terminate the user's access to and use of the platform without prior notice.

Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.

DATA OWNERSHIP AND PORTABILITY

You retain all ownership rights to the content you create on the platform, including awards, profiles, tournament information, group details, and any other data you provide. Upon request, we will provide you with a copy of your data in a commonly used, machine-readable format.

When you delete your account, we will delete your personal information within 30 days, except where we are required to retain it by law or for legitimate business purposes. Awards that have been distributed to recipients may remain visible to those recipients even after your account is deleted.

We use Supabase as our database provider. Your data is stored securely and is subject to both our privacy policy and Supabase's data processing terms.

SERVICE AVAILABILITY AND MAINTENANCE

We strive to provide continuous access to the platform, but we do not guarantee that the Service will be available at all times. The platform may be unavailable during periods of maintenance, updates, or due to circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including features, database, or content, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.

Scheduled maintenance will be communicated to users when possible via email or in-app notifications. We will make reasonable efforts to minimize disruption during maintenance windows.

ACCOUNT DELETION AND DATA RETENTION

You may delete your account at any time through your account settings or by contacting us at support@awardable.io. When you delete your account:

• Your personal information will be deleted within 30 days
• Your profile and account access will be immediately removed
• Awards you created that have been distributed to others may remain accessible to recipients
• Billing records will be retained for tax and accounting purposes as required by law
• Anonymous usage data may be retained for analytics purposes

If you wish to delete your account but preserve awards you've distributed, please contact us before deletion. We can work with you to ensure award recipients maintain access.

THIRD-PARTY SERVICES

Our platform integrates with and relies on the following third-party services:

• Clerk: User authentication and account management
• Stripe: Payment processing for subscriptions
• Supabase: Database and data storage
• Vercel: Hosting and deployment infrastructure

Each of these services operates under its own terms of service and privacy policy. By using our platform, you acknowledge and agree to be bound by the terms of these third-party services. We are not responsible for the practices or content of these third-party services.

GOVERNING LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of the United States, specifically the laws of the State of Delaware. Any dispute relating to these terms shall be subject to the exclusive jurisdiction of the state or federal courts of the State of Delaware.
