Awardable Sponsor Program Terms

1. Agreement and authority
These Sponsor Program Terms (the "Program Terms") govern a business's application to and participation in the Awardable Sponsor Program. They supplement Awardable's Terms of Service and Privacy Policy. If these Program Terms conflict with the general Terms of Service on a Sponsor Program matter, these Program Terms control for that matter.
"Awardable," "we," "us," and "our" mean Awardable, Inc. "Sponsor," "you," and "your" mean the business applying to or participating in the Sponsor Program and the individual authorized to act for that business. By submitting an application or purchasing Sponsor credits, you represent that you are at least 18 years old and have authority to bind the Sponsor to these Program Terms.
2. Application and review
Participation is not automatic. Awardable may review the Sponsor, its business category, identity, location, logo, description, targeting preferences, and other submitted information. Awardable may approve, require changes to, reject, pause, deactivate, or remove an application or Sponsor profile when reasonably necessary to protect users, youth audiences, the Program, Awardable, or applicable legal obligations.
Initial applications and review-sensitive profile edits may have a 14-day correction period. Awardable may mark an unresolved application or profile inactive after that period. Approval is not permanent and does not require Awardable to accept future content, placements, or purchases.
3. Sponsor account and controller
Each Sponsor business may have one controlling Awardable account, and each controller may control one Sponsor business unless Awardable approves a different arrangement in writing. You must protect your credentials, maintain a verified email address, and promptly report suspected unauthorized access. Sponsor authority does not grant Coach, Athlete Account, Admin, or Owner authority, and another Awardable role does not automatically grant Sponsor authority.
4. Sponsor profile and changes
You must keep submitted information accurate and current. Targeting preferences and private contact details may be updated without reapproval. Changes to the business name, logo, public description, or business location may pause new placements and require review before reactivation.
If an edited profile is not approved, you may withdraw the edit and request restoration of the most recently approved profile. Restoration and reactivation require Awardable approval.
5. Youth-safe content policy
Sponsor content must be lawful, accurate, appropriate for a youth sports environment, and consistent with Awardable's published policies. Prohibited content and businesses include adult or sexually explicit content; alcohol; tobacco, nicotine, or vaping; cannabis; gambling, betting, or Sponsor-offered prize promotions; weapons; political campaigns; hate or discrimination; illegal or dangerous goods or services; deceptive or unsubstantiated claims; malware; and other content Awardable reasonably determines is inappropriate for youth audiences.
Sponsor placements do not include clickable external destination links. Submitted logos and other content may not contain QR codes, scannable codes, URLs, or instructions that direct youth users to an external destination.
Awardable may request substantiation for objective advertising claims and may require a clear disclosure when a material relationship or other information is necessary to avoid a misleading impression. A Sponsor placement does not state or imply that an Athlete, parent, Coach, team, tournament, or Awardable endorses the Sponsor or its products or services.
6. Content ownership and license
You retain ownership of your submitted names, logos, trademarks, images, text, and other materials ("Sponsor Content"). You represent that Sponsor Content is accurate, properly licensed, does not infringe another person's rights, and may lawfully be displayed in connection with the Program.
You grant Awardable a nonexclusive, worldwide, royalty-free license during Program participation and for a reasonable archival period afterward to host, store, reproduce, resize, format, and display approved Sponsor Content solely to operate, document, and promote the Sponsor placements purchased through the Program. Awardable may make technical modifications that do not materially alter the Sponsor's brand. This license does not transfer ownership of Sponsor Content to Awardable.
7. Sponsor credits and pricing
Sponsor credits are prepaid units used only for eligible Sponsor placements within Awardable. Available tiers, quantities, discounts, taxes, and the total charge will be shown before purchase and calculated by Awardable's server. Credits have no cash value, are not legal tender, cannot be transferred or resold without Awardable's written approval, and cannot be used outside the Program.
Credits do not expire. Paused or inactive Sponsors retain unused credits, but those credits cannot be matched or consumed until the Sponsor returns to an approved and active status. One credit is consumed from each matched Sponsor for each successful Coach Publish action that produces the applicable Sponsor placement, regardless of the number of recipients on a Team Award.
8. Payments, taxes, and refunds
Payments are processed by Stripe or another disclosed payment provider. You authorize the provider and Awardable to process the displayed charge and associated transaction information. You are responsible for applicable taxes except taxes imposed on Awardable's net income.
Credit purchases are final and non-refundable except for a duplicate or unauthorized charge, an Awardable billing error, a refund required by applicable law, or an exception Awardable expressly approves in writing. Contact support@awardable.io promptly with the Sponsor name, transaction date, and a description of the issue. Nothing in these Program Terms limits a non-waivable right or remedy available under applicable law.
9. Placements and no performance guarantee
Sponsor eligibility may consider approved status, available credits, tier, sport targeting, location, radius, rotation, and operational availability. An unsponsored award may publish without a Sponsor. Awardable does not guarantee any minimum or maximum placement volume, placement date, frequency, duration, geographic reach, audience size, impressions, clicks, sales, revenue, renewal, or other business result.
Sponsor reports are limited to verified Awardable placement and credit activity. They are not a representation of unique people reached or independent business performance unless Awardable expressly identifies and substantiates such a metric.
10. Privacy and youth data
Awardable's Privacy Policy governs personal information processed through the Program. Sponsor access is limited to the Sponsor's authorized account, approved profile, credit activity, and placements made for that Sponsor. Sponsor participation does not grant access to private Athlete, parent, Coach, team, or award information except for the limited placement information Awardable expressly makes available through an authorized Sponsor interface.
You may not use the Program to collect personal information from children, contact an Athlete or minor through Awardable, build a profile about a minor, or attempt to identify a person from aggregated or limited placement information. You must not place tracking technology, data-collection code, or deceptive links in Sponsor Content.
11. Suspension, inactivity, and termination
Awardable may pause matching, suspend access, reject content, or terminate Program participation for a material breach, unlawful conduct, payment fraud, security risk, youth-safety concern, or conduct reasonably likely to harm users or Awardable. When practical, Awardable may provide notice and an opportunity to correct the issue, but immediate action may be taken when necessary to protect people, data, payments, or the Program.
Termination does not erase completed purchase, credit, placement, review, or acceptance records that Awardable must retain for accounting, security, legal, or audit purposes. Treatment of unused credits following termination remains subject to the refund rule above and applicable law.
12. Disclaimers
To the maximum extent permitted by law, the Sponsor Program is provided "as is" and "as available." Awardable disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Awardable does not warrant that every requested placement will occur or that the Program will be uninterrupted or error-free. These disclaimers do not apply where prohibited by law.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from the Sponsor Program, even if advised that such damages are possible.
To the maximum extent permitted by law, Awardable's aggregate liability arising from the Sponsor Program will not exceed the amount the Sponsor paid Awardable for Sponsor credits during the twelve months before the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited.
14. Indemnification
To the maximum extent permitted by law, Sponsor will defend, indemnify, and hold harmless Awardable, Inc. and its officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from Sponsor Content, Sponsor's products or services, Sponsor's breach of these Program Terms, or Sponsor's violation of law or another person's rights. Awardable will provide reasonable notice and cooperation, and Sponsor may not settle a claim in a way that admits fault by or imposes an obligation on Awardable without Awardable's written consent.
15. Informal dispute notice
Before filing a lawsuit concerning the Sponsor Program, the party raising the dispute must send a written notice describing the issue and requested resolution. Notices to Awardable must be sent to support@awardable.io with the subject "Sponsor Program Dispute." The parties will attempt in good faith to resolve the dispute by email for 30 days after receipt. This requirement does not prevent either party from seeking urgent injunctive relief or pursuing a claim before a legal deadline expires.
16. Governing law and courts
These Program Terms are governed by Delaware law, without regard to conflict-of-law rules. Subject to the informal dispute process above, the state and federal courts located in Delaware will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. This section does not waive a non-waivable right under applicable law.
17. Changes and electronic records
Awardable may update these Program Terms prospectively. Material changes will receive a new version and may require renewed acceptance before a new application, profile reactivation, or credit purchase. Electronic acceptance and records have the same effect as a signed paper record to the extent permitted by law. The version accepted for an application or purchase continues to govern that transaction unless applicable law requires otherwise.
18. General terms
These Program Terms, the Terms of Service, the Privacy Policy, and the purchase details presented at checkout form the agreement for the Sponsor Program. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. A waiver must be in writing. Sponsor may not assign these Program Terms without Awardable's written consent; Awardable may assign them in connection with a merger, acquisition, reorganization, or transfer of the Program. Application acknowledgment
I certify that I am authorized to represent this business; the information and content submitted are accurate, properly licensed, and appropriate for youth audiences; and Awardable may review, reject, pause, remove, and display approved Sponsor content under the Sponsor Program Terms.
Purchase acknowledgment
I accept the Sponsor Program Terms and understand that credits never expire, are consumed only for published Sponsor placements, do not guarantee placement volume, timing, audience size, or business results, and are non-refundable except for duplicate or unauthorized charges, Awardable billing errors, applicable-law requirements, or an explicit Awardable exception. Profile changes may pause placements while unused credits remain available after reapproval.
